Transactional The attorneys and staff that constitute the Transactional Section of Frilot L.L.C. are committed to providing our clients with representation for a wide variety of business and commercial transaction needs. Some of the many areas which we can assist our clients are as follows: Corporate Counsel We act as general outside corporate counsel for several companies, both large and small. Our lawyers assist these companies in stockholder relations, business acquisitions, sales and mergers, financing transactions and the restructuring of businesses. Additionally, we negotiate and prepare documentation for a wide variety of business transactions, including but not limited to: commercial and construction loans, joint ventures, business purchases, sales and mergers, leases, sales arrangements and construction projects. Closely-Held and Family Businesses We have worked with several closely-held and family businesses, and have advised these clients on both traditional corporate issues and issues which related more to these types of businesses, including owner succession issues, resolving shareholder disputes, and negotiating and preparing buy-sell agreements between shareholders. Banking We represent clients in connection with their commercial financing needs. Additionally, we also represent banks and other lenders in connection with their commercial loans to borrowers. Such representation includes negotiating and preparing loan documents, closing loans and handling renewals, amendments, sales and foreclosures on such loans. Real Estate We represent numerous clients in the leasing, sale and acquisition of commercial and residential real estate. We assist clients in negotiating and documenting real estate sales transactions, leases of real estate and other transactions involving real estate. We also represent buyers and sellers in litigation which may arise from real estate transactions. Creditors’ Rights and Bankruptcy We represent creditors in connection with foreclosures on commercial and residential property in both state and federal court. Additionally, we also represent creditors involved in loan workouts, either out-of-court or in the context of a Chapter 11 reorganization. |
